STMPD Create Masters — Online Mixing & Mastering
A service of STMPD recording studios

1. Definitions
• STMPD Create Masters: STMPD recording studios, registered with the Netherlands Chamber of Commerce (KvK)
under number 59631651, with its registered office at H.J.E. Wenckebachweg 68, 1114 AD Amsterdam, the
Netherlands, hereinafter referred to as “STMPD Create Masters”.
• Client: the natural person or legal entity that places an order via the Portal. A Client not acting in the course of a
profession or business is a “Consumer”.
• Portal: the online platform of STMPD Create Masters through which the Client uploads files, pays and places the
order.
• Service: the remote, non-attended performance of digital mixing and/or mastering work on audio material
supplied by the Client.
• Master: the digital end result delivered by STMPD Create Masters.
• Supplied Material: all audio files, stems and other data uploaded by the Client via the Portal.
• Working Day: a day other than a Saturday, Sunday or an official public holiday in the Netherlands.


2. Applicability
• These Terms apply to every offer, order and agreement concluded via the Portal. By placing an order via the
Portal, the Client accepts these Terms.
• The version of these Terms applicable to an order is the version in force at the time the order is placed, as
published on the Portal.
• Deviations from these Terms are valid only if agreed in writing. Any general terms and conditions of the Client are
expressly rejected and do not apply.


3. The Service
STMPD Create Masters provides digital, non-attended mixing and mastering services only. The Service expressly does
not include: the Client’s attendance during any session, live feedback or alignment calls, recording, or any form of
attended studio time.
Each order includes one (1) revision round. A revision concerns adjustments within the scope of the original order.
Changes that alter the nature or scope of the order — including new or replaced source material — constitute a new
order and will be charged separately.


4. Supplied Material and Client warranties
• The Client shall supply the Supplied Material in accordance with the specifications stated on the Portal (including
file format, sample rate, bit depth, headroom, and — where indicated — refraining from limiting or other
processing on the mix bus).
• The Client is solely responsible for the quality, completeness and technical suitability of the Supplied Material.
STMPD Create Masters is not obliged to process material that does not meet the specifications.
• The Client warrants that it holds all rights (including intellectual property rights) to the Supplied Material, or has
obtained all necessary consents, and indemnifies and holds STMPD Create Masters harmless against all third-
party claims in this respect.


5. Formation of the agreement, upload and payment

• The upload of the Supplied Material and the payment form part of one and the same ordering process on the
Portal.
• The agreement is concluded at the moment the Client completes the order via the Portal and full payment has
been received in advance. STMPD Create Masters commences work only after receipt of full payment.
• For Consumers, the ordering process includes a mandatory confirmation step regarding the right of withdrawal as
set out in Article 16.


6. Prices, payment and refunds
• All payments are made in advance via the Portal. Prices are stated in euros.
• Prices shown to Consumers include VAT. Prices for business Clients are exclusive of VAT unless expressly stated
otherwise.
• No refund is given once work on the order has commenced, except where STMPD Create Masters demonstrably
fails to deliver the Master and remains in default after having been given written notice and a reasonable period
to remedy. In that case the amount paid for the undelivered work will be refunded.
• The statutory rights of Consumers, including those set out in Article 16, remain unaffected.


7. Delivery and turnaround
• Stated turnaround times are indicative and do not constitute strict deadlines. STMPD Create Masters aims to
deliver within a maximum of five (5) Working Days from commencement of the work. Exceeding an indicative
turnaround time does not entitle the Client to rescission of the agreement or to damages, save where mandatory
law provides otherwise.
• Delivery takes place digitally by means of a download link. The download link remains valid for fourteen (14) days
after delivery. The Client is responsible for downloading and securing the files in time. Within the retention period
referred to in Article 10, STMPD Create Masters will on request provide a new download link free of charge.
• The Master is delivered in the format specified on the Portal. The Master is deemed delivered, and risk passes to
the Client, at the moment it is made available for download.


8. Revision and acceptance
• A request for the included revision round must be submitted within seven (7) days of delivery of the Master (V1),
through the channel designated on the Portal, stating the requested adjustments in one consolidated set.
• The Master is deemed approved and accepted when the Client approves it, or when the Client has not submitted
a revision request within seven (7) days of delivery. Upon acceptance, the right to the included revision round
lapses.
• Revisions are delivered within the indicative turnaround time referred to in Article 7.


9. Intellectual property
• All rights to the Master transfer to the Client only upon receipt of full payment. Until that moment, all rights to
the Master remain vested in STMPD Create Masters.
• All rights to the Supplied Material remain vested in the Client.
• STMPD Create Masters is entitled to credit the work performed and to use the Master for its own portfolio,
promotional and reference purposes, unless the parties agree otherwise in writing.


10. Retention and deletion of files
STMPD Create Masters retains the Supplied Material and the Master for one (1) month after delivery of the Master.
After expiry of this period, the files are permanently deleted and STMPD Create Masters cannot be required to re-
deliver. The Client is responsible for securing and backing up all delivered files within this period.

11. Refusal and suspension
• STMPD Create Masters may refuse or suspend an order if the Supplied Material is unlawful, infringes third-party
rights, or is technically unsuitable for the Service.
• If an order is refused before work has commenced, the amount paid will be refunded in full. If material is
technically unsuitable, the Client will be given the opportunity to supply corrected material; costs of work already
reasonably performed may be charged.


12. Liability
• Mixing and mastering are partly subjective and creative in nature. STMPD Create Masters gives no warranty as to
any commercial or artistic result.
• The total liability of STMPD Create Masters, on whatever legal basis, is limited to the amount paid by the Client
for the order concerned.
• STMPD Create Masters is not liable for indirect or consequential loss, including but not limited to lost profit, lost
revenue, missed opportunities or loss of data.
• The limitations in this Article do not apply insofar as the damage results from intent or wilful recklessness on the
part of STMPD Create Masters, or insofar as mandatory law — including consumer law — precludes such
limitation.


13. Force majeure
STMPD Create Masters is not obliged to perform any obligation where it is prevented from doing so by force majeure,
including but not limited to power or internet outages, failure of the Portal or third-party platforms, and illness or
unavailability of key personnel. In the event of force majeure, performance may be suspended. If the force majeure
situation lasts longer than thirty (30) days, either party may terminate the agreement in respect of the part not yet
performed; in that case the Client will be refunded the amount paid for that part.


14. Privacy
STMPD Create Masters processes personal data in accordance with the General Data Protection Regulation (GDPR).
Further information is set out in the privacy statement published on the Portal.


15. Complaints
Complaints about the Service may be submitted to create@stmpdstudios.com. STMPD Create Masters will respond
within fourteen (14) days of receipt. Submitting a complaint does not suspend the Client’s payment obligations.


16. Additional provisions for Consumers
This Article applies only to Clients who are Consumers and prevails over the other provisions of these Terms in the
event of conflict.
Right of withdrawal and waiver. The Consumer has a statutory right to withdraw from the agreement within fourteen
(14) days without giving reasons. By placing the order, the Consumer expressly requests that STMPD Create Masters
begin performance of the Service immediately — i.e. before the end of the withdrawal period — and acknowledges
that the right of withdrawal is lost once the Service has been fully performed. This express consent and
acknowledgement are recorded as a mandatory confirmation step in the ordering process on the Portal.
If the Consumer validly withdraws after performance has begun but before the Service has been fully performed, the
Consumer owes an amount proportionate to the part of the Service performed at the time of withdrawal, relative to
the full price of the order.
Where the right of withdrawal applies, the Consumer may — but is not obliged to — use the model withdrawal form
made available on the Portal. Withdrawal may also be declared by an unambiguous statement sent to
create@stmpdstudios.com.

Mandatory consumer law, including the statutory conformity requirements, remains fully applicable and is not limited
by these Terms.


17. Amendments
STMPD Create Masters may amend these Terms. Amendments do not apply to orders already placed. The applicable
version is stated on the Portal at the time of ordering.


18. Miscellaneous
• If any provision of these Terms is or becomes invalid or unenforceable, the remaining provisions remain in full
force. The invalid or unenforceable provision will be replaced by a valid provision that most closely approximates
its purpose and intent.
• These Terms are drawn up in English. As Dutch law governs, terms and concepts used herein shall be interpreted
in accordance with their meaning under Dutch law.


19. Governing law and disputes
• These Terms and all agreements between STMPD Create Masters and the Client are governed exclusively by
the laws of the Netherlands (Nederlands recht).
• Disputes shall be submitted exclusively to the competent court in Amsterdam, the Netherlands.
• If the Client is a Consumer, the Consumer may, within one (1) month after STMPD Create Masters has invoked the
foregoing clause in writing, elect to have the dispute resolved by the court competent under the applicable
statutory rules.
